Notice of Termination of Urbantech-M LLC through Transformation into Urbantech-M Joint Stock Company

URBANTECH-M Joint Stock Company (abbreviated as URBANTECH-M JSC, primary state registration number (OGRN) 1257700112383, tax identification number (INN) 9714071941, tax registration reason code (KPP) 771401001, registered address: 125167, Moscow, intracity territory of a federal city, municipal district Khoroshevsky, Viktorenko St., house 5, building 1, premise 1/18, email: info@urbantechgroup.ru, phone 007 495 229-41-88), represented by General Director Andrey Vladimirovich Denisenkov, acting under the Charter, hereby notifies of the completion of the reorganization procedure of URBANTECH-M LLC (primary state registration number (OGRN) 1187746523458) in the form of transformation into URBANTECH-M JSC.
URBANTECH-M LLC has ceased its operations (an entry on termination under state registration number (GRN) 2257714334910 dated March 10, 2025, has been made in the Unified State Register of Legal Entities) through reorganization in the form of transformation into URBANTECH-M JSC (an entry on establishment under state registration number (GRN) 1257700112383 dated March 10, 2025, has been made in the Unified State Register of Legal Entities).
In accordance with Clause 5 of Article 58 of the Civil Code of the Russian Federation, as a result of the reorganization in the form of transformation of URBANTECH-M LLC into URBANTECH-M JSC, the rights and obligations of the reorganized legal entity with respect to third parties remain unchanged. By virtue of the provisions of Paragraph 3 Clause 2 Article 218 of the Civil Code of the Russian Federation, ownership of the property belonging to URBANTECH-M LLC is transferred to URBANTECH-M JSC.
Thus, agreements and contracts entered into by URBANTECH-M LLC (including appendices, supplements, and amendments) remain legally valid and continue to be in effect, with all rights and obligations thereunder transferring to URBANTECH-M JSC in their entirety, as existing at the time of the completion of the reorganization.
This notice is considered an integral part of the concluded agreements and contracts. The remaining terms and conditions of previously concluded agreements and contracts that are in effect as of the date of this notice remain unchanged.
